1. Introduction

Welcome to Tilio ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the Tilio website, services, and any related applications (collectively, the "Services"). By using our Services, you agree to be bound by these Terms.

Please read these Terms carefully. If you do not agree with these Terms, you should not use our Services. By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Services Description

Tilio provides custom web development, app development, and landing page creation services with optional AI integration. Our Services may include but are not limited to:

• Website development and redesign
• Mobile and web application development
• Landing page creation
• AI integration services
• Hosting services
• Consultation and strategy
• Clavius AI Visibility Dashboard - a platform for monitoring and optimizing AI search engine visibility

2.1. Clavius Platform Usage

The Clavius AI Visibility Dashboard ("Platform") is a software-as-a-service offering that allows users to monitor and optimise their website's visibility across AI search engines including ChatGPT, Claude, Perplexity, and other AI platforms.

Account Access: Access to the Platform requires registration and authentication. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Subscription Plans: The Platform offers various subscription tiers (Free, Starter, Pro) with different features and limitations. Subscription terms, pricing, and features are subject to change at our discretion.

Platform Usage: You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform to monitor or analyze websites or domains that you do not own or have authorization to monitor, attempt to reverse engineer, decompile, or disassemble any part of the Platform, use automated systems or bots to access the Platform in a manner that exceeds reasonable usage limits, share your account credentials with others or allow unauthorized access to your account, or use the Platform in any way that could damage, disable, or impair the Platform or interfere with other users' access.

Data and Content: You retain ownership of any data you submit to the Platform. By using the Platform, you grant us a license to use, store, and process your data solely for the purpose of providing the Platform services to you.

Service Availability: We strive to maintain high availability of the Platform but do not guarantee uninterrupted or error-free service. We reserve the right to perform maintenance, updates, or modifications that may temporarily interrupt service.

3. Client Obligations

As a client using our Services, you agree to provide accurate and truthful information, cooperate with us in a timely manner to facilitate the delivery of services, review and provide feedback on prototypes and deliverables, pay any agreed-upon fees for services rendered after approval, comply with all applicable laws and regulations, and not use our Services for any illegal or unauthorized purpose.

4. Prohibited Uses and Content

Tilio reserves the right to decline or terminate any project that involves content or services that we deem inappropriate, harmful, or outside our ethical boundaries. The following categories of projects are expressly prohibited: Political Content, Adult Content, Gambling and Betting (unless fully licensed), Weapons and Firearms, Illicit Substances, Hate Speech, Misinformation, Scams and Fraudulent Services, and Copyright Infringement.

We reserve the right to refuse service for any project that we believe violates these prohibited categories or otherwise conflicts with our values and ethical standards, even if not explicitly listed above. Our decision in these matters is final.

5. Intellectual Property

Upon full payment of applicable fees, you will own the final deliverables provided to you. Tilio retains ownership of all preliminary concepts and designs that are not selected as final deliverables. Tilio may showcase the completed project in our portfolio unless otherwise agreed in writing. For "Buy the Code" services, you receive full ownership of the codebase. For "Buy + Host" services, you receive full ownership of the codebase, and we provide the additional service of hosting the application on our infrastructure.

6. Payment Terms

Clavius Platform Subscriptions: For the Clavius Platform, subscription fees are billed in advance on a monthly or annual basis according to your selected plan. You may cancel your subscription at any time, and cancellation will take effect at the end of your current billing period. No refunds will be provided for partial billing periods.

Our unique business model ensures you only pay if you are satisfied with our work. We provide a working prototype within 24 hours of project approval. You will only be charged if you approve the prototype. If you decide not to proceed after viewing the prototype, there is no cost.

7. Limitation of Liability

To the maximum extent permitted by law, Tilio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses. In no event shall our aggregate liability exceed the greater of one hundred dollars ($100) or the amount you have paid us in the past six months.

8. Term and Termination

These Terms shall remain in full force and effect while you use the Services. We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
